This Agreement (the "Agreement") is a legal agreement between you and Persiangrocery.com. ("Stargate Cafe Inc.")that states the terms and conditions under which you may receive the Persiangrocery Service and use the Persiangrocery Web site ("Persiangrocery.com"). If you use the Stargate Cafe Inc. Service or Persiangrocery.com, you agree to these terms and conditions.

DELAYS/SUBSTITUTIONS:

If we are temporarily out of stock on a particular item, we reserve the right to substitute a similar product of equal or greater value to meet your requested delivery date. You will be informed by e-mail or phone if there are any backorders or problems with your order, so please make sure to provide us with contact information. Contact information will be used solely for shipping your order. It will not be sold or distributed to any mailing lists. Persiangrocery is not liable for loss, damage, or delay caused by events we cannot control, including acts of God, perils of the air, weather conditions, or if there is no one available to accept the package. If the package that you are shipping is perishable, please make sure that the recipient will be home to receive it.

Any other use of materials on Persiangrocery.com, including, but not limited to, reproduction, modification, distribution or publication for any commercial or public purposes, without the prior written permission of Persiangrocery.com is strictly prohibited. Persiangrocery.com reserves the right to revoke this authorization at any time, and any use shall be discontinued immediately on written notice from Persiangrocery.com.

Not: all Persiangrocery logos, and all titles, characters, names, graphics and button icons are service marks, trademarks and/or trade dress of persiangrocery.com or otherwise proprietary to Persiangrocery.com and may not be used by you for any reason other than as expressly permitted by this Agreement. All other trademarks, service marks, product names and company names or logos appearing on Persiangrocery.com are the property of their respective owners.

Your Account

You agree to provide Persiangrocery.com with accurate and complete information as required by registration for the Persiangrocery Service ("Customer Registration Data"), including, but not limited to, your legal name, billing and delivery addresses, telephone number,credit card account number and expiration date and/or bank account information, and promptly to notify Persiangrocery of any change in your Customer Registration Data. Upon registration, you will be issued a customer identification number and password allowing you access to the Persiangrocery Service. Your password should be kept strictly confidential to prevent unauthorized use. You agree to notify Persiangrocery promptly of any unauthorized use of your password or your account or loss or theft of your credit card or bank account number. You will remain liable for any use of the Persiangrocery Service until you notify Persiangrocery of the unauthorized use, loss or theft.

Unauthorized or Fraudulent Use

Persiangrocery does not offer the Persiangrocery Service to children. By registering for the Persiangrocery Service, you warrant that you are at least 18 years old. If you are under 18, you may use the Persiangrocery Service only with the involvement of a parent or guardian. From time to time, Persiangrocery may extend promotional offers to existing or potential new customers. You agree to abide by the terms and conditions of any such offer and acknowledge that circumvention of the terms and conditions of such offers constitutes a fraudulent use. You will be liable for damages caused by such fraudulent use and Persiangrocery reserves the right to charge the credit card identified in your Customer Registration Data an amount equal to such damages.

Fees, Payment and Access

You are responsible for, and agree to pay promptly, all charges to your account, including applicable taxes and purchases by you or anyone you allow to use your password or I.D. number, including your family, friends or other customers. Fees and charges will be assessed in accordance with the then current Persiangrocery fee schedule which can be accessed online. If you fail to pay any fees or charges when due under the Persiangrocery fee schedule (which includes returned checks, electronic payment rejection, redelivery or restocking fees, or damages arising from fraudulent use), Persiangrocery may charge such amount directly to the credit card identified in your Customer Registration Data. You shall be responsible and liable for any fees, including attorneys' fees and collection costs, that Persiangrocery may incur in its efforts to collect any unpaid balances from you. Persiangrocery reserves the right to establish a credit limit for your account. Your right to use the Persiangrocery Service is also subject to limits established by your credit card issuer.

Termination

Persiangrocery may suspend or terminate your access to the Persiangrocery Service at any time for any reason with or without notice to you. You may terminate your Persiangrocery Service at any time for any reason by delivering notice in a manner provided in this Agreement which termination will be effective the day notice is received or such later date specified in the notice. If you terminate your Persaingrocery Service for any reason, you will not be entitled to a refund of any fees. Persiangrocery reserves the right to collect fees and charges incurred before you cancel your Persiangrocery Service. In addition, you are responsible for any charges incurred to third-party vendors or content providers prior to your cancellation.

Disclaimer of Warranty and Limitation of Liability

YOUR USE OF THE PERSIANGROCERY SERVICE, PERSIANGROCERY.COM AND THE INTERNET IS ENTIRELY AT YOUR OWN RISK. THE PERSIANGROCERY SERVICE, PERSIANGROCERY.COM AND ITS CONTENTS ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PERSIANGROCERY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO THE AVAILABILITY, ACCURACY OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES, AND WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. PERSIANGROCERY DOES NOT WARRANT THAT THE FUNCTIONS PROVIDED BY PERSIANGROCERY.COM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT PERSIANGROCERY.COM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. PERSIANGROCERY'S LIABILITY IS LIMITED TO CREDITING YOUR ACCOUNT FOR PRODUCTS SOLD BY PERSIANGROCERY AND RETURNED BY YOU. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR OF CERTAIN DAMAGES, IN SUCH STATES AND JURISDICTIONS WARRANTIES AND LIABILITY ARE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Information Collection

We collect information on a voluntary basis from customers and visitors to our site, when they choose to register or place an order with us. To ensure easy shopping and timely product delivery we ask for information including your name, address, email address, phone number and credit card information (for your protection we only display the last four digets of your credit card). All of these are necessary for purchase and quick communication with you about the status of your order. Should you wish to change your information, simply click on the My Account link located on the top of the Home Page. The Update Account link is located on the right side. In addition, PersianGrocery.com will collect information including Browser Type, IP address, and server information from consumers who write to us about technical problems. In addition, we collect aggregate information on pages visited, and information volunteered by consumers, such as survey information and/or site registrations.

Information Use

Persons and customers who supply us with their telephone numbers online may receive telephone contact from us with information regarding orders they have placed online to ensure quality service. People who register and specify that they wish to receive telephone calls in regards to new products and services or upcoming events, or in connection with surveys conducted by us or on our behalf may receive calls from us time to time. If you do not wish to receive communications relating to new products and surveys, please let us know by updating your account. You will be prompted with a choice upon registering with PersianGrocery.com.

The information we collect is only used to (1) improve the content of our web site, customer service, and provide technical support (2) customize the content and/or layout of our page for individual consumers, and (3) contact consumers about updates to our web site and for marketing purposes, such as improving PersianGrocery services or alerting customers of special offers and events. This information is not shared with other organizations for commercial purposes. This means we will not distribute, sell or rent your name or personal information to any third party. If you are registered, you may remove your name from our lists by updating your account information. You will be prompted with a choice upon registering with Persaingrocery.com.

Sharing of Information

PersianGrocery.com may share non-personal, non-individual information in aggregate form with its marketing partners for research purposes. We will not tell our marketing partners that you purchased a specific product, but we may tell them how many customers purchased a product

At the request of our consumers, PersianGrocery.com will share order related information for Partner loyalty programs. Registering with these Partners constitutes permission to share the required order information

Opt out/Update Personal Information

Your name will be removed from our email list if you request not to be contacted for future promotions and/or not to be contacted for research purposes by PersianGrocery.com. You may remove your name from the email list and edit your personal information from the PersianGrocery.com computer system by updating your account information.

If you use this site, you are responsible for maintaining the confidentiality of your account and password, for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. PersianGrocery.com does not sell products to children, but it sells them to adults, who can purchase with a credit card. If you are under 18, you may use PersianGrocery.com only with involvement of a parent or guardian. PersianGrocery.com reserves the right to refuse service, terminate accounts, or cancel orders at their sole discretion.

PersianGrocery.com reserves the right to post all contest and promotion winners email address on the PersianGrocery.com site in order to prove the validity of the contest to other users and customers.
